中國(guó)上海2013年12月11日電 /美通社/ -- 巨人網(wǎng)絡(luò)集團(tuán)有限公司（紐交所交易代碼：GA）（以下稱“巨人”或“公司”），是一家中國(guó)領(lǐng)先的網(wǎng)絡(luò)游戲開發(fā)商和運(yùn)營(yíng)商。今天宣布由三位獨(dú)立董事Peter Andrew Schloss先生、閻焱先生以及江南春先生組成的特別委員會(huì)已聘任Morgan Stanley Asia Limited和Duff & Phelps Securities, LLC作為其財(cái)務(wù)顧問(wèn)，以評(píng)估公司董事會(huì)在2013年11月25日收到的來(lái)自公司董事會(huì)主席史玉柱先生及其附屬實(shí)體公司，還有霸菱亞洲投資（Baring Private Equity Asia）（以下稱“霸菱”）的一個(gè)附屬公司提出的非約束性私有化要約（以下稱“要約”）。

如此前已宣布的，要約來(lái)自史總、霸菱以及其他可能加入的實(shí)體（如有的話）組成的買方財(cái)團(tuán)。買方財(cái)團(tuán)計(jì)劃以每股普通股或每股美國(guó)存托股（公司每一存托股代表一股普通股）11.75美元的價(jià)格現(xiàn)金收購(gòu)公司所有發(fā)行在外的普通股，包括公司存托股所代表的普通股。

特別委員會(huì)對(duì)完成該交易或其他交易提議（如有的話）的評(píng)估并無(wú)確切時(shí)間表，除非達(dá)成協(xié)議并不計(jì)劃宣布相關(guān)進(jìn)展。目前無(wú)法保證將會(huì)形成任何最終要約，或就該交易簽署任何最終協(xié)議，或該交易或任何其他交易會(huì)被批準(zhǔn)完成。
